AI Service Terms

  1. These AI Services Terms apply specifically to your use of the AI Services accessible in the LawVu Platform and apply in addition to the LawVu Terms and Conditions (or other agreement between you and LawVu governing your use of the LawVu services).
  2. Definitions
    AI Services” include functionality that utilises artificial intelligence or services that generate outputs in response to instructions, including those given by you, using machine learning algorithms, logical, statistical, probability or prediction models, or search and optimization methods, and data from a dataset prescribed by you, or a third party service provider. Without limitation, the AI Services may include functionality that examines your contracts or other data to automatically extract information or provide summaries, is otherwise identified as incorporating AI Services or you otherwise know or ought to know incorporates AI Services.
    Output” means the resulting content generated from use of the AI Services which is provided to you based on instructions, commands and underlying User Data.
  1. The AI Services rely on your commands, data inputs, and/or other underlying User Data. To the extent you control the instructions, inputs and User Data, you are solely responsible for the accuracy and completeness of them.
  2. You will ensure that your use and use by your Personnel is in accordance with our Acceptable Use Policy.
  3. The AI Services are intended to provide a tool to assist you. Any Outputs generated from the AI Services cannot be relied upon for decision making without human review and cannot be relied upon as any form of legal or other advice. You acknowledge and understand that you must review any Output of AI Services before it is further processed or used.
  4. To the maximum extent permitted by law: (a) we do not warrant that the Outputs will be complete or accurate, or meet your specific needs; and (b) we will not be liable, whether directly or indirectly, for any damage or loss relating to the Outputs, content extracted or any other element in connection with AI Services.
  5. As between you and LawVu, and to the extent permitted by applicable law, you retain ownership rights in all User Data and Outputs of the AI Services. We do not permit third parties to use your User Data or Outputs to improve or train any artificial intelligence and machine learning models, including the AI Services.
  6. LawVu uses certain third party providers in order to provide the AI Services to you, which is set out in our Subprocessor List. You permit us to submit your User Data as required to the relevant third party provider solely for the operation of the AI Services. To the extent that third party providers require us to flow down additional terms to you, they shall be considered binding on you. You must not use the AI Services in a manner that is prohibited by law, to violate the rights of others or in a manner that is harmful to others.

Addendum – AI Services Terms and Conditions – Trial Terms These terms apply if you are using the AI Services Terms and Conditions on a trial basis only. This Addendum applies where you are using these AI Services Terms and Conditions on a trial basis only. Your term commences when you start using the AI Services and continues for a period of 60 days (“Trial Period”). Your trial will include 50 Contract Extractions during the Trial Period at no cost to you. A “Contract Extraction” means using the Trial AI Services to extract a set of clauses or metadata from a Document. A “Document” means any document up to and including 40 pages in length, with every additional 40 pages or less being treated as an additional Contract Extraction. For example, a document of 41 – 80 pages will be treated as two Documents (and two Contract Extractions).

LawVu Connector Terms

These LawVu Connector Terms apply specifically to your use of the LawVu Connector for Power Platform functionality and apply in addition to the LawVu Terms and Conditions (or other agreement between you and LawVu governing your use of the LawVu services).

  1. ‘LawVu Connector for Power Platform’ includes functionality that allows you to build bespoke, end-to-end business solutions using Microsoft Power Platform made available by Microsoft Corporation and its affiliates (Third Party Service).
  2. LawVu is not affiliated with and does not endorse any Third Party Service. You are solely responsible for procuring and maintaining licenses to any Third Party Service and ensuring that the features and capabilities of your Third Party Service support LawVu Connector for Power Platform and the purpose for which you intend to use LawVu Connector for Power Platform.
  3. LawVu is not responsible for maintaining or supporting automation templates provided by LawVu that are modified by you or any bespoke automation workflows developed by you using LawVu Connector for Power Platform. LawVu does not accept any liability (including for loss of data) whatsoever arising from your use of the LawVu Connector for Power Platform.

Insights Connect Terms

These Insights Connect Terms apply specifically to your use of the Insights Connect functionality and apply in addition to the LawVu Terms and Conditions (or other agreement between you and LawVu governing your use of the LawVu services).

  1. ‘Insights Connect’ includes functionality that allows you to export certain data (Exported Data) from the LawVu Platform to a third party service or product (Third Party Service).
  2. You are solely responsible for procuring and maintaining licenses to any Third Party Service and ensuring that the features and capabilities of your Third Party Service support Insights Connect and the purpose for which you intend to use Insights Connect.
  3. LawVu is not affiliated with and does not endorse any Third Party Service. LawVu does not accept any liability (including for loss of data) whatsoever for any Exported Data outside of the LawVu Platform. It is your sole responsibility to ensure that appropriate security measures are maintained to protect any Exported Data in the Third Party Service.

LawVu Managed DocuSign

Effective date: 20 November 2023

These LawVu Managed DocuSign Terms apply specifically where either (i) LawVu Managed DocuSign is included on your Order Form or Product Schedule, or (ii) you access and use LawVu Managed DocuSign available in the LawVu Platform, and apply in addition to the LawVu Terms and Conditions (or other agreement between you and LawVu governing your use of the LawVu services).

  1. You acknowledge and agree that the access and use of LawVu Managed DocuSign is subject to the DocuSign Terms.
  2. Fees and payment terms for access and use of LawVu Managed DocuSign will be set out in the Order Form , Product Schedule or as otherwise agreed by you and LawVu.
  3. For the avoidance of doubt, these LawVu Managed DocuSign Terms do not apply where you have entered into a separate agreement with DocuSign, Inc.or one of its affiliates for the access and use of services provisioned directly by DocuSign.
