New module implementation services

1. PROJECT

LawVu will provide Implementation Services for the initial implementation of a new module of the LawVu Services (the Project) as a single, continuous phased project on a fixed fee basis. Any changes to this approach or additional components, not listed here, will require a change request and are subject to additional fees.

2. DURATION AND SCHEDULE

Project Start Date: On the Services Date indicated on the Product Schedule.
This Project is expected to take 60-90 days from Project Start Date depending on your engagement and availability of your personnel and resources for the Implementation Services.

The Project Schedule will be agreed and validated during the Kick-Off Call. An indicative schedule for the Project is set out below.

All adjustments to the originally agreed upon Project Schedule by you may result in a delay to the Project based on LawVu’s resource availability, costs, or both. You are responsible for informing LawVu of all unavailable resource dates/times (e.g., vacation schedules, known travel, etc.) which could affect the Project Schedule.

Implementation Services must be consumed within 6 months of the Services Date. After this period, you will no longer have access to the Implementation Services.

3. OBJECTIVES AND APPROACH

The Project has the following objectives:

  • configuration of the new module is optimized for your operations, which provides a seamless and efficient user experience;
  • you have completed live and on demand training on the new module that empowers you to continue to configure and optimize your use; and
  • you are prepared with a strong foundation for successful adoption and usage of by your legal team and business users (where applicable).

The Implementation Services will follow LawVu’s standard approach, focusing on leading practices and utilizing standard configuration settings.

4. ROLES AND RESPONSIBILITIES

LawVu Team

The LawVu team assigned to perform the Implementation Services will include an Implementation Manager and a Customer Success Manager. The Implementation Manager will manage LawVu activities and deliverables and work with your appointed representative (Customer Project Lead) on the activities and due dates. The Customer Success Manager will be involved in key parts of the Project to understand your business goals and ensure alignment to meet those goals with LawVu both during and after implementation. The LawVu team may include support from a Technical Implementation Manager, Data Analyst, and/or Legal Engineer, as needed.

Your Team 

Your team will include an internal Project Sponsor, Project Lead, and IT contact. Your team may also include additional internal stakeholders. The Project Sponsor will be active, engaged, visible, and communicates directly with your team throughout the Project. They will lead by example, align with business goals, and build a coalition of support. Your Project Sponsor will enlist other leaders to support the change in their respective areas, as well as your core legal team and all its members. The Project Lead will focus on configuration and adoption stages. They will become familiar with the product, make design and configuration decisions with their LawVu Implementation Manager, complete all tasks as assigned, and ensure project alignment with stakeholder goals. The IT contact will work with LawVu to fulfil any technical requirements not able to be completed by the Project Lead.

5. SCOPE

In Scope

The following Implementation Services will be included Project:

  • Initial configuration of the LawVu Platform based on the currently available Workspace Plan functionality, up to the maximum number of hours, as outlined on the Product Schedule
  • Guided configuration of users, access roles and permissions, Grid Views, and Business portal intake forms, buttons, workflows and branding.
  • Enable SSO and assist with configuration for SSO standards supported by LawVu
  • Enable and assist with configuration for standard integrations that are natively available in LawVu as listed here: https://ecosystem.lawvu.com/
  • Access to the suite of off-the-shelf dashboards and reports in-app powered by LawVu standard fields
  • Training for LawVu users provided through instructor-led webinar training, LawVu Academy on-demand self-service training resources and LawVu Help self-service library.

Out of Scope

The following services are excluded from the Project. If you require any of these services, the parties will enter into an additional agreement and additional fees will apply.

  • Third party system integrations – functionality and implementation of any custom integrations that are not natively available in LawVu
  • Implementation of custom integrations leveraging LawVu’s API’s
  • Custom report creation
  • Additional contract automation setup
  • Authoring of legal content
  • Additional data or template imports
  • Multi-phase projects (i.e. implementation of additional entities)
  • Additional Implementation Services hours in excess of the amount stated on the Product Schedule

Add On Professional Services

Where any of the following Professional Services are listed on the Product Schedule attached to the Agreement, these will be included in the Project. Services not listed in the Product Schedule are excluded from the scope of the Project and will incur additional fees.

LAWVU CONTRACTS MODULE

  • Guided configuration of contract types, contract fields, and contract approval workflows.
  • One time data migration of up to 5,000 contract records, plus associated files.
  • Contract automation setup for up to 5 contract wizards.

 LAWVU DRAFT

  • Webinar onboarding session(s) to introduce participants to the LawVu Draft tool, highlighting key features relevant to their use cases. This includes a follow-up check-in to answer questions and, if needed, deep-dive sessions for specific use cases.
  • Guided configuration of templates, clauses and playbooks.
  • Content will be delivered through webinars, articles, and ad hoc sessions as appropriate.
  • Authoring new legal content, including templates, clauses, or playbooks, beyond client-provided language and standards, is excluded.

AI CONTRACT EXTRACTION IMPORT (for greater than 500 contracts)

  • Customer will upload up to 5,000 contracts in folders separated by contract type in a supported file type (PDF, doc, docx) to LawVu for processing based on up to 30 key fields identified per contract type. No ZIP files or encrypted files will be processed.
  • LawVu will process the uploaded files to extract the specified details from the contracts. The client will have the opportunity to review the extracted details within LawVu after the import is complete.
  • LawVu will support customer-led testing and validation of extraction as needed, which does not extend to accuracy of AI output.
  • Authoring of customer-specific AI prompts is excluded.

LAWVU SPEND MODULE

  • Guided configuration of LSP’s (Legal Service Providers), invoice intake and approval workflows.
  • One-time bulk invoice upload.

INSIGHTS CONNECT

  • Provide access to data authentication through Databricks-to-Databricks sharing or via open sharing protocol with an access token.

LAWVU CONNECTOR FOR POWER PLATFORM (Integration with Microsoft Power Platform)

  • LawVu will provide guidance to Customer on installing and configuring the integration.
  • LawVu will provide access to a suite of pre-built template automation workflows in Power Automate.
  • Customer to self-build, maintain and support workflows and automations via connector.

LEGAL OPERATIONS HEALTH CHECK

  • Virtual discovery and diagnostic assessment of your organization’s current state of legal operations.
  • RAG analysis output and top 10 recommended actions.
  • Two rounds of review to refine and align on opportunity prioritization, workstream design and best practice adoption tactics.
  • Execution support not included but is available for an additional fee. 

6. ASSUMPTIONS

  • LawVu and Customer will foster an open environment that promotes knowledge and information sharing. Both parties will allocate adequate resources, including technical, operational, and support personnel, to meet the Project timeframes and objectives.
  • Meetings and communications with identified internal and external stakeholders will be scheduled and conducted in a timely manner by all parties.
  • LawVu will work directly with Customer Project Lead and Project Sponsor to address any Project issues, variances or access to people or information that would otherwise negatively impact project cost or timeline.
  • LawVu is providing all Implementation Services using its standard templates. Any material modifications to these templates may lead to Project delays, change request(s) and additional fees.
  • LawVu Matters functionality is already configured based on customer’s initial implementation.
  • For data migration, the Customer is responsible for preparing and exporting data from their current system in a structured format (CSV/Excel) that aligns with LawVu's configuration. This includes ensuring data cleanliness and securing legal and IT resources to assist in data organization and export. Additional fees apply where the data is not in the specific format or is not ready to be migrated.
  • For data migration, LawVu will perform pre-import checks, conduct a test import of 10 records, and work with the Customer to confirm the accuracy of imported data.
  • LawVu will assist customer in configuring and testing all standard integrations for your use. Once we have completed the data mapping, you are responsible for ensuring that you provide all necessary permissions to enable the integrations to function.
  • All Implementation Services will be conducted remotely unless on-site attendance is mutually agreed and will be subject to Travel and Expenses as outlined in Section 7 (Fees).
  • Customer will complete all Project tasks as assigned including but not limited to assessments, questionnaires, Academy Training courses.

7. FEES

Fees for the Project (Implementation Fee) is set out in the Product Schedule attached to the Order Form. The Implementation Fee is due upon execution of the Order Form.

The Implementation Fee does not include Travel and Expenses. Where LawVu is required to travel to provide the Implementation Services, LawVu will be reimbursed for reasonable, actual expenses incurred, provided you have agreed to the scope or details of the expense in writing prior to LawVu incurring such expense, and that we produce all relevant receipts and documentation.

Any additional services not specified in the Implementation Services or Project shall be charged at the higher of $265 USD per hour or LawVu’s then current rates and will be the subject of a separate statement of work to be agreed by the parties.

Any unused Implementation Fees will expire 6 months from the Effective Date of the Order Form. Any Implementation Services required after this period will incur additional fees at LawVu’s then-current rates.
